The shareholders of Sanlam Morocco and Allianz Morocco approved the proposed merger between the two companies at their respective Extraordinary General Meetings held on 2 July 2026.
Under the terms of the transaction, Allianz Morocco will be absorbed by Sanlam Morocco, with all of Allianz Morocco’s assets and liabilities transferred to Sanlam Morocco.
The merger has been finalized following the fulfilment of all conditions precedent, including approvals from the Moroccan Capital Markets Authority (AMMC), the Supervisory Authority of Insurance and Social Welfare (ACAPS), and the shareholders of both companies.
As part of the transaction, Sanlam Morocco has approved an increase in its share capital from 411 687 400 MAD (43 290 165 USD) to 534 187 400 MAD (56 171 408 USD). The capital increase will be implemented through the issuance of 1 225 000 new shares with a par value of 100 MAD (10.5 USD) each, to be allocated to the shareholders of Allianz Morocco.
